IoTaas Terms of Use MTinfo 3000

Article 1. General
1.1. Dual Inventive Holding B.V. and its affiliated group companies, hereinafter: “Dual Inventive”, offer various services through its sales companies and distributors, including MTinfo 3000, Insight, Field Service Management, and Provisioning, hereinafter: the “Services”. Dual Inventive provides these Services via the internet through a web application, mobile app, and APIs.
1.2. These Terms of Use, together with the general terms and conditions, apply to the use of the Services and to all information provided via the Services. Dual Inventive reserves the right to amend these Terms of Use.
Article 2. Use of the Services
2.1. To use the Services, you need an account. You can create an account in the web application or in the app. You can download the app via the App Store (iOS) or Play Store (Android). When creating your account, you will be asked to provide your name and email address. It is not possible to create more than one account per email address. If you experience issues with your account, please contact us at info@dualinventive.com.
2.2. After completing the registration, Dual Inventive will send you login credentials. Once you log in for the first time, you can change your login credentials. You are responsible for keeping your login credentials confidential. Only you may use the account. If you know or suspect that someone else has access to your account or login credentials, you must notify Dual Inventive as soon as possible and change your login credentials. You are and remain liable for all use of the Services via your account.
2.3. To use the Services, you will also need (i) a mobile phone or other device with (the latest version of) an operating system that supports the functioning of the Services, and (ii) internet access.
2.4. You may not use the Services:
(a) in a way that:
i. infringes the rights of Dual Inventive or third parties and/or is unlawful towards third parties;
ii. is in breach of applicable laws or regulations; or
iii. is contrary to the general terms and conditions or these Terms of Use;
(b) for purposes other than those intended, including:
i. reproducing, modifying, distributing, (sub)licensing, renting, selling, transferring, publishing, or otherwise exploiting the Services;
ii. probing for vulnerabilities in security or authentication mechanisms in order to circumvent them;
iii. decompiling or reverse engineering, except to the extent permitted under applicable law;
iv. scraping, indexing, measuring, or otherwise data mining (part of) the app and/or Services, or unnecessarily hindering or disrupting the operation and/or functionality of the app and/or Services; and/or v. uploading or otherwise introducing harmful code (including malware, Trojans, viruses, etc.).
2.5. Dual Inventive may suspend or restrict your access to and use of the Services (i) in the event of (suspected) fraud, (ii) if you infringe the rights of third parties, and/or (iii) if you violate any provision of these Terms of Use and/or the general terms and conditions. Any resulting damage or costs shall be at your expense, unless otherwise provided by applicable law.
2.6. You are solely responsible for the technical functioning and maintenance of your internet connection, internal network, and all other IT systems required for your access and use the Services.
Article 3. Quality, safety and availability
3.1. Dual Inventive reserves the right to make functional, procedural, or technical changes or improvements to the Services at any time.
3.2. To ensure maximum availability, periodic maintenance is carried out. During maintenance, the Services may be (partially) unavailable. In principle, maintenance is carried out outside peak hours to minimise inconvenience. You will be notified via the Services at least 5 working days in advance of scheduled maintenance. In the event of emergencies, we may not be able to provide (timely) notice.
3.3. Dual Inventive monitors the Services and is proactively alerted in case of disruptions. In such cases, we will use reasonable efforts to resolve the issue as soon as possible with minimal inconvenience to the user.
3.4. You must immediately notify Dual Inventive if the Services experience a malfunction, such as an error message or a disabled feature. You can do so by sending an e-mail to info@dualinventive.com or, in urgent cases, by calling +31646328178.
Article 4. Right of use
4.1. Dual Inventive grants you a limited, personal, revocable, non-exclusive, non-sublicensable, and non-transferable right to access and use the Services and all information provided via the Services, in accordance with these Terms of Use. If you breach these Terms of Use, Dual Inventive may revoke this right immediately. You are only granted the right to use the Services during the term of the agreement.
Article 5. Indemnity
5.1. You indemnify and hold harmless Dual Inventive against any third-party claims in connection with the use of your account and the Services.
Article 6. Applicable law and disputes
6.1 In the event of a dispute between you and Dual Inventive, the parties shall first attempt to resolve the matter amicably. If resolution is not achieved within 30 days, either party may submit the dispute exclusively to the competent court of the District Court of Oost-Brabant.
6.2. These Terms of Use are governed by Dutch law.
